ADVERTISER AGREEMENT

This Advertiser Agreement (the "Agreement") is between Aditt, LLC., a Delaware limited liability company ("Aditt", "Company", "we", "our", or "us"), and the advertising customer (the "Customer", "you", or "your"). This Agreement will be effective as of the date that you click "I Accept" (the "Effective Date"). Please read this Agreement carefully. By signing and using the Platform (as defined herein), you represent that you have the authority to enter into this Agreement and our privacy policy provided https://aditt.app/privacy-policy, or any other location designated by Company and which may be updated by Company from time to time at its sole discretion (the "Privacy Policy") (which is incorporated herein by reference) on behalf of Customer, and agree that Customer, and all of Customer's employees and users, will be bound by this Agreement. If you and your company do not wish to be bound by this Agreement, you may not use the Platform (as defined herein).

1. Services

a. Scope

Subject to the terms of the Agreement, Company and/or its affiliates will perform certain software based services including (i) the placement of Customer created Internet advertising content or materials ("Ads"); and (ii) enabling views of certain data about the delivery of, and interactions with, Ads via the Platform (as defined below) (collectively, "Services") for Customer. "Platform" shall mean any and all computer hardware, software, APIs, websites, mobile applications, devices, servers, or other related systems under the control of Company and containing the underlying software used to provide the Company's services including, but not limited to, the Company's Campaign Dashboard. The end users, customers, and/or individuals who view, click, or otherwise interact with the Ads shall be referred to herein each as a "User" and collectively the "Users".

b. Reporting

The Platform tracks responses, clicks, and other data which go into the Campaign Overview in the Campaign Dashboard delivered by Company as well as the metrics for calculating applicable Fees (as defined below). Customer acknowledges that (i) its use of the Services and provision of Ads, content and other data to Company hereunder are for the purpose of purchasing and displaying advertising and related services under this Agreement, and that such purchases will be recorded by the Services; (ii) other than with respect to errors caused solely by Company's gross negligence or willful misconduct, all applicable Fees will be calculated based on metrics reported by the Services; (iii) Company may accept, reject or suspend (even after any initial acceptance), any Campaign (as defined below), or any specific Ad, or any portion thereof, at its sole discretion, including to the extent such Campaign or content violates the requirements set forth in Section 3 herein as may be updated from time to time; (iv) Company will be responsible for determining the size, placement and positioning of Ads; (v) Company will use commercially reasonable efforts to direct Ads based on the criteria you set forth in your Campaign Dashboard though Company does not guarantee that your Campaign or Ads will reach Customer's intended audience or reach Customer's performance goals, including with respect to any desired number of engagements or impressions; (vi) Company does not guarantee that placement meeting Customer's preferred criteria will be available, or that it will be available in the volume desired by Customer; and (vii) while Company will use reasonable efforts to filter fraudulent User accounts and related engagement activity, Company makes no guarantees as to the amount or method of views generated by any Campaign or Ad and shall have no responsibility for User account fraud, bot activity or any related data or technological issues even where such issues may impact the cost of an applicable Campaign or Ad. Customer acknowledges that no refunds or restoration of Ad Credits shall be issued for any traffic that Company determines, in its sole discretion, to be invalid, fraudulent, automated, or otherwise impermissible, except for if directly caused by Company's gross negligence or willful misconduct in which case Company shall restore Ad Credits to Customer for such traffic. Company may, but is not obligated to, restore Ad Credits in its sole discretion on a case-by-case basis. Company makes no guarantee regarding the results, performance, or effectiveness of any advertising campaign. Customer acknowledges that amounts displayed or calculated in the Campaign Dashboard reflect Ad Credit consumption, not post-delivery billing.

c. Testing

Customer authorizes Company and its affiliates to periodically conduct tests that may affect Customer's usage of the Services, including Ad formatting; Ad targeting and keywords; URLs and other landing pages to which Ads direct viewers; quality, ranking, and performance for Ads. Notwithstanding anything to the contrary, Customer authorizes Company to conduct such tests without notice or compensation to Customer.

d. Managed Services

If Customer elects to participate in Aditt's optional managed services offerings, such services shall be governed by a separate Managed Services Addendum executed between the parties, which shall supplement and be incorporated into this Agreement.

2. Customer Responsibilities

a. General Responsibilities

Customer shall at all times (i) enter and otherwise provide accurate and complete information to Company and the Platform; (ii) secure, and upon Company's request, provide documentation of, all necessary authorization from applicable third parties to distribute the Ads, Ad content and materials through the Platform, including but not limited third-party advertising platforms, analytics providers, service vendors, and other third parties applicable to this Agreement; (iii) ensure that Customer's use of the Services and Platform, the Ads, content and materials connected to the Ads, and the web pages on which the Platform ad tags are placed, and the selection criteria used to target the Ads, conform to the Privacy Policy and this Agreement (collectively referred to herein as "Aditt Advertiser Policies"), and not violate any applicable law (including, but not limited to, all laws applicable to consumer protection, consumer credit, privacy, and intellectual property), and do not cause damage or injury to Company or the Platform; (iv) be prohibited from uploading or otherwise introducing into the Services any Ad, content or other information that violates the Aditt Advertiser Policies; (v) pay all applicable Fees. Any breach of the restrictions and requirements set forth in this paragraph shall be a material breach of this Agreement and Company may suspend Services and remove Ads as a result of such breach, and (vi) ensuring its Ad Credit balance remains sufficient to run any active Campaign. Customer agrees and acknowledges that Campaign delivery will pause automatically if its Ad Credit balance is insufficient for the Services.

b. Account Responsibility

Customer agrees that it is responsible for the use of the Platform (including the incurrence of costs and fees) by its employees, approved agents subcontractors, and any other users that gain access to the Platform via Customer's login credentials, and that it will ensure such users comply with the terms of this Agreement and Customer shall be liable for any breach of this Agreement by any of the foregoing.

c. Sensitive Information

Notwithstanding anything to the contrary, Customer shall ensure that it will not use any Deliverables or data generated by the Platform to target individuals or households which have opted out of targeted advertising, including, but not limited to, by using any information that identifies or could be used to identify a particular individual, as compared to a particular device, such as name, address, telephone number, email address, financial account numbers, or government-issued identifiers ("PII") or Sensitive Information. "Sensitive Information" shall mean: (i) any information revealing race or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership; (ii) genetic data; (iii) biometric data for the purposes of uniquely identifying a natural person; (iv) data concerning health; (v) data concerning a natural person's sex life or sexual orientation; (vi) any personal data regarding a minor under the age of 13 (or under the age of 16 with respect to EEA Data); (vii) any financial account numbers or insurance plan numbers that can be used to identify an individual; (viii) any government-issued identifiers; or (ix) characteristics deemed sensitive under the Code of Conduct promulgated by the Network Advertising Initiative ("NAI"), located at the https://www.networkadvertising.org/sites/default/files/nai_code2018.pdf (or any successor website). "EEA Data" shall mean data originating in the European Economic Area and the United Kingdom.

d. Data Merging

Customer shall not merge any Company-provided data with any PII or otherwise re-identifying, or attempting to re-identify, an individual for targeted advertising without obtaining specific opt-in consent from such individual.

e. Breach Consequences

Customer acknowledges that in the event of a breach of any requirements in Section 2, Section 3, or Customer's breach of its payment obligations hereunder, Company reserves the right to remove any applicable Ads and/or suspend or permanently deactivate Customer's account on the Platform.

f. Export Compliance

Customer acknowledges that the Services are not designed or intended to be removed or exported from the United States in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority, or used in a way that may violate any of the requirements of the foregoing. As defined in FAR section 2.101, the Services are "commercial items" and according to DFAR section 252.227-7014(a)(1) and (5) are deemed to be "commercial computer software." Customer shall comply with all export and re-export restrictions and regulations of the Department of Commerce or other United States agency or authority, and shall not transfer, or authorize the transfer of, the Services to a prohibited country or otherwise in violation of any such restrictions or regulations or directly or indirectly, take any action that would cause Company to be in violation of United States anti-boycott laws under the United States Export Administration Act or the United States Internal Revenue Code, any sanctions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) the United Nations Security Council (UNSC), the United States Export Administration Regulations, 15 C.F.R. chapter VII, subchapter C (ยงยง730-774), administered by the United States Commerce Department's Bureau of Industry and Security ("BIS") (the foregoing limitations shall be referred to collectively as "Export Control Regulations"). To the extent Customer violates any Export Control Violations or requests Company perform the Services in a way that is alleged to violate any Export Control Regulations, Customer hereby agrees to defend, indemnify and hold harmless Company and its affiliates, subsidiaries, employees, agents, shareholders, officers, directors and attorneys from and against any and all claims, costs, damages, losses, liabilities, fines, penalties, settlements and expenses (including attorneys' fees and costs) arising out of or in connection with the foregoing.

c. Sweepstakes & Giveaways

Customer is responsible for all legal compliance related to the sweepstakes and represent and warrant that it is compliant with all applicable rules and regulations. Any service or product involved in the sweepstakes or giveaway must meet relevant Aditt Advertiser Policies.

d. Language and Style

Customer's display name must match the product or service being promoted in any Ad. Ad headlines and excerpts should be relevant to the landing pages. Sensational language is discouraged and language should not attempt to convince a User to take an action through urgency, fear, or shame. Examples include "insane offer," "outrageous savings," "take action before it's too late," "you will regret missing your chance," and "you're putting yourself at risk if you don't do this". No explicit language is permitted (even if censored or abbreviated, such as "sh*t" or "WTF"), emojis, exclamation points, or all-caps words for emphasis.

e. Imagery

Aditt reserves the right to reject any Ad unit or creative that we deem inappropriate or potentially offensive to our Users.

f. Third-Party Intellectual Property Infringement

Ads may not contain content that violates the intellectual property rights of any third party, including copyright, trademark or other legal rights. This includes, but is not limited to, the promotion or sale of counterfeit goods, such as products that copy the trademark (name or logo) and/or distinctive features of another company's products to imitate a third-party's product.

g. Cybersecurity

Ads must not use phishing or social engineering techniques to capture others' sensitive information and must not promote or link to malicious code - such as malware or spyware.

These standards should be used as a guideline when developing and submitting creative and messaging assets for the purposes of advertising on the Platform. Aditt reserves the right to update our advertising standards and/or refuse ads it decides are unacceptable and will not meet our Users expectations.

h. About Our Policies

No set of guidelines can address every situation or issue that may arise. Accordingly, we anticipate that these guidelines will be revisited and updated from time to time. Aditt reserves the right to refuse or remove any advertising that is inconsistent with or may tend to bring disparagement, harm to reputation, or other damage to the Aditt brand. We may also remove ads, categories of ads, or advertisers that receive negative feedback from Users.

i. Enforcement of our Policies

We use automated and, in some instances, manual review to enforce our policies. Our review process may not detect all policy violations, and Ads remain subject to review and re-review and may be rejected for violating our policies at any time. It is Customer's responsibility to understand and comply with our policies outlined in herein, and any other applicable terms and guidelines, in addition to all local laws and regulations. If Customer's Ad is rejected for any reason, Customer may be provided an opportunity to edit the Ad in order to bring the Ad into compliance, in Company's sole discretion, and can request another review if Customer believes their Ad was incorrectly rejected.

j. The ad review process

Our Ad review system relies primarily on a manual review/automated tools to check Ads and business assets against our policies. Our Ad review process starts automatically before Ads begin running, and is typically completed within 24 hours, although it may take longer in some cases. During this review, the status of the ad will be "Pending" Additionally, Ads may be reviewed again, including after they are live.

4. Fees and Payments

a. Fees; Purchase of Ad Credits

All applicable fees for the Services ("Fees") shall be paid by Customer to Company in the form of Ad Credits, as described herein. Customer shall purchase prepaid advertising credits ("Ad Credits") through the Platform, which may be used for the Services, including Customer's Ad campaigns on the Platform (each, a "Campaign"). Ad Credits will be displayed and accessible on Customer's Platform campaign dashboard for the Services ("Campaign Dashboard"). All Ad Credits are purchased in advance, are immediately available for use upon purchase, and are strictly non-refundable for any reason, except where required by applicable law.

Ad Credits shall be deducted on a per-use basis, at the rate set forth in the Campaign Dashboard, as Ads are delivered, based on the pricing, parameters, and budget settings selected in the Campaign Dashboard. Customer acknowledges and agrees that no payments will be invoiced post-Campaign, and all advertising spend will be drawn exclusively from Customer's available Ad Credit balance.

b. Taxes

All invoiced amounts are exclusive of any and all value added, use, sales, service, property or other taxes or contributions. Customer shall be responsible for payment of any such value added, use, sales, service, property or other taxes or contributions that are, or should ultimately be, assessed against or required to be collected by Company in connection with Company's performance hereunder (except to the extent Customer is exempt by law and can provide Company with a bona fide exemption certificate).

c. Disputes; Suspension of Services

If Customer disputes, in good faith, the deduction of any Ad Credits from its account balance, Customer must notify Company with a detailed explanation within seven (7) days of the disputed deduction. Any deductions not disputed within seven (7) days shall be deemed accepted by Customer. If Company determines that Ad Credits were improperly deducted, Company shall restore the applicable amount of Ad Credits to Customer's account; no cash refunds shall be issued. In the event that Company does not receive payment of any Fees, or other amounts due, within the time frames above, interest shall accrue at the rate of two percent (2%) per month (or the maximum rate allowed by law) and Company reserves the right, in addition to any other rights and in its sole discretion, to suspend or terminate access to the Services by such Customer and/or stop any and all Services being performed. In addition, Customer shall reimburse Company for the costs of collection including, without limitation, attorneys' fees and expenses.

5. Proprietary Rights

a. Ownership

All right, title and interest in and to all Services, Platform, Deliverables (as defined below) and any and all components and materials related to such items whether or not created, assembled, organized or produced by Company and modification and enhancements to any such items whether or not created by Company ("Company Materials") and any and all any patents, patent applications, trademarks, trade secrets, copyrights, and all other similar items of intellectual property, whether registered or unregistered, any and all applications thereto, including any common law or other rights created by use thereof, all proceeds thereof (such as by the way of example any licenses, royalties and proceeds of current infringements), and the right to sue for past, present and future infringements therein (collectively "Intellectual Property Rights") shall belong exclusively to Company, and all rights granted to Customer under the Agreement are expressly limited to the license granted herein.

b. License

Subject to the terms and conditions of the Agreement and subject to receipt of all applicable Fees and other amounts due hereunder, Company hereby grants to Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the Term to access and use the Platform and Services for the sole purpose of (i) uploading Customer Information; and (ii) viewing, downloading, importing, or otherwise managing any reports, tables or data created or prepared by Company in the course of performing the Services ("Deliverables").

c. Limitations

Customer may only use the Company Materials in its own business and pursuant to the terms of the Agreement, including any additional terms or restrictions set forth on the Campaign Dashboard, and shall ensure that its authorized employees and agents that utilize the Services comply with the terms herein. Customer agrees that it shall not, in whole or in part, at any time during or after the Term: (i) sell, assign, sub-licensee, lease, distribute, transfer, communicate or disclose any of the Company Materials to any third party; (ii) modify or attempt to modify any of the Company Materials or decompile, reverse engineer, create or recreate any related source code; (iii) use any of the Company Materials to provide services to, or to otherwise benefit, any third party; (iv) use any of the Company Materials to create a program having similar features or functions of the Company Materials; (v) remove or modify any copyright or other proprietary notice contained in any of the Company Materials; or (vi) allow others to do any of the foregoing. The licenses granted to Customer hereunder are specific to Customer and may not be conveyed in any way.

d. Customer Marketing Collateral

Customer hereby provides Company with a limited, non-exclusive, royalty-free right and license to use Customer's name, logo, Ads (including any case studies, insights, testimonials, and statistical information resulting therefrom), and any associated trademarks or service marks, including screenshots of any of the foregoing (collectively, "Customer Marketing Collateral") in connection with Company naming Customer as a customer, and otherwise referring to Customer's use of the Services in Company's promotional and marketing materials. Notwithstanding the contrary, other than with respect to the limited license set forth in this Section, Customer shall retain all right, title and interest in the Customer Marketing Collateral. Customer may opt-out of the use of the Customer Marketing Collateral, as set forth herein, in-part or in entirety, by providing written notice to Company.

e. Customer Information

In order for Company to provide the Services and deliver the Deliverables, Customer will be required to provide Company and its affiliates with data concerning Customer, its products and/or services and customers, including any content or data to be used in connection with Ads generated or placed via the Services ("Customer Information"). Such Customer Information may be generated by Customer's use of the Services and hosted on servers under the possession or control of third parties. Customer hereby grants Company and its authorized subcontractors and service providers, a non-exclusive, royalty-free right and license (i) to have access to and make use of the Customer Information as necessary for the performance of Services; (ii) store in the Platform(s) any and all Customer Information; and (iii) to use Customer Information, as well as any data or information generated by Customer's use of the Services, for research, analytics and Company's business purposes. Customer acknowledges that it is Customer's sole responsibility to ensure that the Customer Information is accurate and up-to-date and Company will not be able to perform the Services in the event Customer fails to maintain accurate Customer Information. Customer grants to Company a perpetual, irrevocable, royalty-free license to use and incorporate into the Services any suggestion, enhancement request, recommendation, correction or other feedback provided by Client regarding the Services or Platform.

f. Company Materials

Customer expressly acknowledges and agrees that any ideas, concepts, know-how, methods, models, data, techniques, business rules, skill, knowledge and experience that were or are used, developed or gained by Company or any of its personnel and all components thereof, including without limitation the Company Materials and any websites, systems, reports or tools made available to Customer in connection with the performance of the Services and delivery of the Deliverables are owned by Company as provided herein and are the Confidential Information of Company.

g. Usage Data

Company may collect information from, and create additional data based on, Customer's access to and use of the Services, including but not limited to geographic location data, IP addresses, access frequencies to the Services, and other related insights, analytics and statistical information related to Customer's access to and use of the Services ("Usage Data"), on an aggregated and anonymized basis. Company shall remain the sole owner of all Usage Data and may use such Usage Data for any purpose.

6. Representations, Warranties, Regulatory Compliance

a. Duly Authorized

Each party represents and warrants that it is duly authorized to enter into the Agreement, it has the authorization to grant the rights herein, its performance of the Agreement will not breach any separate agreement to which it is bound, and that the Agreement, upon execution and delivery, represents a binding obligation of such party, enforceable in accordance with its terms.

b. Services

Company warrants that the Services will be provided in a professional and workmanlike manner consistent with industry practices.

c. Regulatory Compliance

Each party shall comply with all federal, state, and local laws and regulations that are applicable to its respective business and the performance of its obligations under the Agreement.

d. Additional Customer Warranties

Customer further represents, warrants and covenants to Company that (i) it has the rights to use the Ads as contemplated by this Agreement; and (ii) Customer shall employ commercially reasonable methodologies, technologies, and other means reasonably necessary to keep Company Confidential Information secure and to prevent introduction, and shall not intentionally introduce into the Services any virus, worm, "back door", Trojan Horse, or similar harmful code.

7. DISCLAIMERS; LIMITATION OF LIABILITY

a. Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 6, THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND COMPANY MAKES NO OTHER REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SERVICES PROVIDED HEREUNDER OR THAT THE SERVICES PROVIDED WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE OR NON-INFRINGING. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE BENEFITS OR RESULTS THAT CUSTOMER WILL RECEIVE FROM THE SERVICES.

b. Limitation of Liability

COMPANY SHALL HAVE NO LIABILITY WHATSOEVER FOR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST REVENUE OR PROFITS, LOSS OF DATA, LOSS OF OPPORTUNITY OR DISRUPTION OF BUSINESS) OF THE CUSTOMER OR ANY THIRD PARTY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

c. Exclusive Remedy

NOTWITHSTANDING ANYTHING TO THE CONTRARY, CUSTOMER'S EXCLUSIVE REMEDY FOR ANY CAUSE OF ACTION AGAINST COMPANY, ITS AFFILIATES, ITS VENDORS OR ITS SUBCONTRACTORS IN CONNECTION WITH THE PERFORMANCE OF THE SERVICES AND REGARDLESS OF THE FORM OF ACTION (INCLUDING BREACH OF CONTRACT, STRICT LIABILITY, TORT INCLUDING NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE ACTION) SHALL BE LIMITED TO PAYMENT FOR ACTUAL DAMAGES UP TO A MAXIMUM AGGREGATE AMOUNT EQUAL TO THE TOTAL AMOUNTS PAID TO COMPANY HEREUNDER DURING THE SIX (6) MONTHS PRECEDING THE DATE THE CAUSE OF ACTION AROSE. OTHER THAN WITH RESPECT TO COMPANY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, COMPANY SHALL NOT BE LIABLE TO CUSTOMER FOR LOSS, COSTS, DAMAGES, OR EXPENSES INCURRED IN CONNECTION WITH CUSTOMER'S USE OF THE SERVICES, INCLUDING WITH RESPECT TO ANY TECHNICAL MALFUNCTION, INPUTTING ERRORS, SYSTEM ERRORS, CORRUPTION OR LOSS OF DATA, OR OTHER DAMAGES.

8. Term and Termination

a. Term

The term of this Agreement shall commence upon registration of Customer's Account and shall continue until terminated as permitted hereunder (the "Term").

c. Effect of Termination

Upon termination of the Agreement Customer may no longer access the Services or other Company Materials or any rights or licenses granted to Customer hereunder. The terms of Sections 2(d), 6(a), 6(d), 8, 9(c), 10, 11 and 12 shall survive the termination or expiration of the Agreement. Notwithstanding anything to the contrary, Customer acknowledges and agrees that all purchased Ad Credits are non-refundable, and no cash or credit refunds will be issued upon termination of this Agreement, regardless of whether Customer has unused Ad Credits. Upon termination (other than termination caused solely by Company's breach), any unused Ad Credits shall be permanently forfeited. In the event termination is caused solely by Company's breach, Customer shall retain its unused Ad Credits and Company shall, at its discretion, either (i) restore Customer's access to the Platform for the sole purpose of allowing Customer to utilize remaining Ad Credits, or (ii) provide an alternative method for utilizing such Ad Credits solely for advertising services on the Platform. For clarity, unused Ad Credits remain non-refundable in all circumstances and may not be exchanged for cash or any non-advertising services.

9. Confidentiality

a. Definition

"Confidential Information" means any and all business, financial or technical information or data in any form or medium, tangible or intangible, used in or relating to the business activities or operations of the disclosing party which is disclosed, either orally or in writing, by the disclosing party to the receiving party, whether on, before or after the date of the Agreement, including without limitation Intellectual Property Rights; data, know-how, business rules, reports, summaries, processes, samples, ideas, research and development, security procedures and passwords; computer software and programs; database technologies, systems, structures and architectures; marketing plans, business plans, strategies, forecasts, financial information, customer lists, price lists, market studies, business plans; and information regarding suppliers, dealers, affiliates, subsidiaries, investors, or lenders.

b. Protection of Confidential Information

Each party shall take all reasonable steps to prevent the disclosure of the other party's Confidential Information in violation of the Agreement, which shall be no less than the steps it takes to protect its own Confidential Information. Each party shall use its reasonable efforts to confine knowledge of the other party's Confidential Information to its employees and agents who have a reasonable need to know Confidential Information disclosed hereunder ("Representatives") provided that prior to any disclosure to a Representative such Representative has either (i) executed a written agreement to keep such Confidential Information confidential on at least the same terms as described herein, or (ii) is subject to a professional obligation to maintain the confidentiality of such information; and provided further that the receiving party shall remain liable to the disclosing party for any breaches of the Agreement by its Representatives.

c. Required Disclosure

Notwithstanding the foregoing, Confidential Information may be disclosed as required by any governmental agency, provided that before disclosing such information the disclosing party must provide the non-disclosing party with sufficient advance notice of the agency's request for the information to enable the non-disclosing party to exercise any rights it may have to challenge or limit the agency's authority to receive such Confidential Information.

d. Exclusions

Confidential Information shall not include information that (i) is or becomes publicly available through no breach or omission of the receiving party; (ii) was lawfully in the possession of the receiving party prior to the disclosure of by the disclosing party; (iii) is lawfully disclosed to the receiving party from a source other than the disclosing party, provided that such source is not bound by any fiduciary, contractual or legal duties of confidentiality; and (iv) is lawfully and independently developed by the receiving party, which can be established by written evidence.

e. Return or Destruction

Upon termination of this Agreement for any reason, or upon or on the disclosing party's request at any time, the receiving party will promptly deliver to the disclosing party, or, at the disclosing party's option, destroy, all notes, memoranda, programs, computer memory media, equipment and all other materials containing the disclosing party's Confidential Information and will not retain any copies thereof, other than as permitted under this Agreement. The receiving party shall promptly provide the disclosing party with written certification of such return or destruction of Confidential Information. To the extent that any Confidential Information is retained as permitted hereunder, or to the extent that copies of any Confidential Information are stored in electronic archives or backups made in the ordinary course of business in accordance with applicable legal, disaster recovery and professional requirements, all such Confidential Information shall continue to be governed by the provisions of this Section.

10. Privacy

a. Privacy Policy

Customer acknowledges that all use of the Services by Customer and its employees or other authorized users, as well as Company's use of any data provided by Customer or generated by Customer's use of the Services, shall be governed by the Privacy Policy except that to the extent any terms of the Privacy Policy conflict with the terms of this Agreement the terms of this Agreement shall control.

b. Compliance with Laws and Regulations

Each party shall, at all times during the Term, comply with all applicable privacy laws and governmental and industry regulations including, but not limited to, Section 5 of the FTC Act, the NAI Code of Conduct and Digital Advertising Alliance Self-Regulatory Principles for Multi-Site Data found at http://www.aboutads.info/msdprinciples (or any successor site), and the applicable laws of EU members states and the United Kingdom (collectively "Laws"). Each party shall be responsible for posting a privacy policy on its own web site that is in compliance with all applicable Laws. Customer shall (i) ensure that its privacy policy provides users with adequate notice of the types of personal data that are collected, an explanation of how and for which purpose(s) personal data will be used or transferred to third parties, any disclosures of personal data that have been made, and if requested by Company, identifying Company by name and providing a link to Company's privacy notice, and (ii) secure specific consent to the use of cookies and other tracking or similar technologies that store or access information stored on user devices (and provide users with a means to opt-out from advertising cookies and such tracking technologies). In the event that Customer intends to provide Customer Information to Company that constitutes PII, Customer is responsible for encrypting such data in a manner which prevents it from being disassembled or reverse engineered in order to identify the individual to which it pertains prior to providing it to Company, and such encrypted data shall then no longer be PII. Customer may not merge or otherwise associate personally identifiable information with information collected through the Services, unless such merger or association is conducted in accordance with all applicable Laws.

11. Indemnification

Customer agrees to indemnify, defend and hold harmless Company and its affiliates, subsidiaries, employees, agents, shareholders, officers, directors and attorneys from and against any and all claims, costs, damages, losses, liabilities, fines, penalties, settlements and expenses (including attorneys' fees and costs) arising out of or in connection with: (i) a claim alleging that use of the Customer Information, including, but not limited to, the Ads or advertising content, infringes the rights of, or has caused harm to, a third party, including but not limited to claims that the Customer Information violates the intellectual property rights or privacy of any third party or is illegal, deceptive, defamatory, obscene or otherwise violates any of the content restrictions set forth herein; or (ii) any breach of Customer's representations or warranties or Customer's failure to fulfill any of its obligations under the Agreement.

12. General

a. Assignment

This Agreement shall be binding upon and shall inure to the benefit of Company and Customer and their respective successors and permitted assigns. This Agreement may not be assigned by either party, in whole or in part, without the prior written consent of the other party, which consent shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, either party may assign this Agreement in its entirety, upon written notice but without consent of the other party, in connection with a (i) merger, acquisition, corporate reorganization resulting in a change of voting control, or (ii) sale of all or substantially all of its assets not involving a direct competitor of the other party. Any attempt by a party to assign its rights or obligations under this Agreement in breach of this Section shall be void and of no effect.

b. Force Majeure

Neither party shall be liable for any delay (except for obligations to pay all Fees and other payments hereunder) or other failure of performance caused by reasonably unforeseeable factors beyond its control, including without limitation strikes, riots, insurrection, labor shortage, earthquake, hurricane, epidemic, war, acts of terrorism, fire, acts of God, or governmental acts or regulation.

c. Independent Contractor

The parties are independent contractors, and nothing in the Agreement or the performance of the Services or the delivery of Deliverables shall be considered to create a partnership, joint venture or similar relationship between the Parties.

d. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions. Each party agrees that any dispute shall be brought exclusively in the state or federal courts sitting within the judiciary district of the United States District Court in the District of Delaware, and that it will submit to the jurisdiction of the state or federal courts therein, and to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

e. Notices

All demands, notices and communications required or permitted under this Agreement shall be in writing and shall be deemed given (i) upon personal delivery to the party to be notified, (ii) upon sending if by email (with confirmation), if sent during normal business hours and, if not, then on the next business day, (iii) three (3) days after mailing, if sent by registered or certified mail, return receipt requested, postage prepaid, or (iv) one day after dispatch, if sent by a nationally recognized overnight courier, to the respective addresses set forth in the first paragraph of this Agreement.

f. Miscellaneous

If any provision of the Agreement (or any portion thereof) shall be held to be invalid, illegal or unenforceable, the validity, legality or enforceability of the remainder hereof shall not in any way be affected or impaired thereby. The headings in the Agreement are intended for convenience of reference and shall not affect its interpretation. This Agreement, including any additional terms or restrictions set forth as part of the Campaign, and any related exhibits or amendments contain the entire agreement of the parties with respect to its subject matter and supersede all existing agreements and all other oral, written or other communications between them concerning its subject matter. Neither party's failure to enforce strict performance of any provision of the Agreement will constitute a waiver of a right to subsequently enforce such a provision. No written waiver shall constitute, or be construed as, a waiver of any other obligation or condition of the Agreement. This Agreement may be amended by the parties, provided that no amendment, modification or waiver of the Agreement shall be valid unless made in writing and signed by an authorized representative of the party to be charged.
